The Creative Juice AdSense Connect Rewards Program (the “Program”) allows you to receivea one-time one hundred dollar ($100 USD) credit (the “Reward”) from Content Finance, Inc.(“Creative Juice,” we” or “us”) to your Creative Juice-branded Business Deposit Account (the“Juice Account”) made available by Blue Ridge Bank, N.A., a national bank with its main officein Luray, Virginia. These Creative Juice AdSense Connect Reward Program Terms of Use (the“Creative Juice AdSense Rewards Terms”) together with the applicable legal terms availableat https://www.getjuice.com/legal (the “Creative Juice Legal Agreements”, and collectively withthe Creative Juice AdSense Rewards Terms, the “Creative Juice Terms”) set forth the termsand conditions that apply to your use of and access to the Program. To the extent there is aconflict between the Creative Juice AdSense Rewards Terms and any provision of the CreativeJuice Legal Agreements, the provision in these Creative Juice AdSense Rewards Terms willgovern solely to the extent of such conflict.

By agreeing to these Creative Juice AdSense Rewards Terms, you authorize Creative Juice toact on your behalf in accessing financial transaction data held by Blue Ridge Bank, N.A. relatedto your Account for Creative Juice to (1) deposit the funds for the Reward; (2) maintain data inconnection with operating the Program; (3) analyze data for the improvement and optimizationof the Program; and (4) for any other purposes permitted by law, but in all cases in accordancewith the Creative Juice Terms.
1. Program Eligibility Requirements. The Program is only open to participants who (a) have an open and active Juice Account that has remained in good standing for ninety (90) consecutive days prior to registering for the Program, and (b) are not eligible to receive any funding offered by Creative Juice (including, without limitation, funding with Juice Funds Refresh or Juice Funds Reserve) (collectively, “Eligible Participants”). In order to qualify for the Reward, Eligible Participants must: (i) create a Google AdSense account (“AdSense Account”) under the same business entity listed as the owner of the Juice Account, (ii) maintain a deposit balance equal to or greater than five hundred dollars ($500 USD) in the applicable AdSense Account, and (iii) maintain a connection between their AdSense Account and Juice Account for ninety (90) consecutive days starting from the first day the AdSense Account was linked to the Juice Account.
2. Program End Date. The Program will end on the earlier of: (a) September 30, 2023 (unless terminated earlier or extended by Creative Juice in its sole discretion), and (b) when the total amount of Rewards paid by Creative Juice in connection with the Program equals fifty thousand dollars ($50,000 USD) (“Program End Date”). After the Program End Date, Eligible Participants will no longer have the opportunity to participate in the Program or earn a Reward.
3. Earning Limitations. The Reward is a one-time offer that does not repeat after the initial ninety (90) day period. The Reward will not be offered multiple times to the same user or business entity across different Juice Accounts.
4. Reward Redemption. The Reward will be deposited to your registered Juice Account only, and you authorize us to initiate a credit to your Juice Account (or initiate a debit in order to correct an error) by electronic fund transfer. You are unable to receive the Reward through any other means. Creative Juice will not fulfill a Reward if the participant has satisfied the eligibility requirements by means of fraud. Creative Juice’s decisions will be final and binding on all matters with respect to determining whether a Reward is owed.
5. Additional Program Details. In addition to the terms set forth above, the Program is subject to the following rules:
(a) Your use of the AdSense Account is subject to all applicable Google AdSense terms and policies, including without limitation the Google AdSense Online Terms of Service and the Google Privacy Policy.
(b) All federal, state, and local taxes associated with the Reward paid to you are your responsibility. Creative Juice may issue you an IRS Form 1099-MISC, or other appropriate forms reporting the value of the Reward.
(c)Creative Juice reserves the right to change any of the terms of the Program (including these Creative Juice AdSense Rewards Terms) or to terminate the Program, in whole or in part, at any time without notice as determined by Creative Juice in its sole discretion. Creative Juice is not liable for any such changes.
6. Limitations on Liability. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CREATIVE JUICE AND ITS AFFILIATES, LICENSORS AND SUPPLIERS, INCLUDING BLUE RIDGE BANK, N.A., EXPRESSLY DISCLAIM ANY WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. UNDER NO CIRCUMSTANCES WILL CREATIVE JUICE OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, OR THIRD-PARTY PARTNERS OR SUPPLIERS, INCLUDING BLUE RIDGE BANK, N.A., (THE “CREATIVE JUICE PARTIES”) BE LIABLE FOR (A) ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THE PROGRAM, EVEN IF THE CREATIVE JUICE PARTNERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (B) DAMAGES OF ANY KIND ARISING FROM OR RELATED TO (I) GOOGLE ADSENSE, (II) THE ADSENSE ACCOUNT, OR (III) THE REMOVAL, SUSPENSION OR TERMINATION OF SERVICE FROM GOOGLE ADSENSE OR ANY THIRD PARTY SERVICE USED IN CONNECTION WITH YOUR ADSENSE ACCOUNT. IN NO EVENT WILL THE CREATIVE JUICE PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE CREATIVE JUICE ADSENSE REWARD TERMS OR YOUR USE OF THE PROGRAM (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, WARRANTY, OR OTHERWISE) EXCEED ONE HUNDRED DOLLARS ($100 USD).
